Terms and Disclosures
Effective October 29, 2026 · Last updated November 1, 2026
These terms govern the website at omni-stance.com (the “Site”), operated by Omni-Stance (“Omni-Stance,” “we,” “us”). The Site is a directory of filed interests: it lets people who received a notice look up the record it refers to, and lets approved funding firms review records that filers choose to share. By using the Site, you agree to these terms. If you do not agree, do not use the Site.
In short: Omni-Stance runs the directory only. Each record belongs to its filer, who is responsible for it. Questions, disputes, and any legal action about a record go to the filer named on that record.
1. About the directory
1.1 Directory only
Omni-Stance operates the directory, the lookup, and the partner portal. It is not a party to any record or to any transaction a record describes. It does not own, buy, sell, collect, lend against, or guarantee any receivable or interest listed, and it does not verify the contents of records.
1.2 No financial services
Omni-Stance is not a bank, savings association, credit union, trust company, money transmitter, lender, broker, broker-dealer, or investment adviser. It does not accept deposits, hold funds for others, transmit money, extend credit, or arrange, broker, or recommend any financing. It receives no compensation based on any funding arrangement between a filer and a funding firm.
1.3 No offer of securities
Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security in any jurisdiction. Nothing on the Site should be relied on in making an investment decision.
1.4 Affiliated filers
The directory may include records filed by persons affiliated with Omni-Stance. Those records are subject to the same terms as every other record. An affiliated filer is responsible for its records in the same way as any other filer, and Omni-Stance acts only as the directory operator for them.
1.5 Not advice
Nothing on the Site is legal, tax, accounting, or financial advice. If you received a notice and have questions about your rights or obligations, consult your own attorney.
2. Records and filers
2.1 Each record belongs to its filer
Records are created and maintained by the persons who file them (“Filers”). Each Filer is solely responsible for its records, including their accuracy, the existence of any obligation they describe, the authorization of any filing they reference, and any notice sent about them. Each record carries its own risk, which rests with its Filer and not with Omni-Stance.
2.2 Filer of record
Each record identifies its Filer, including the Filer’s legal name, an address for notices and service of process, and contact information. Use this information to communicate with the Filer about the record and, if necessary, to bring any claim. Omni-Stance does not determine where a dispute between a Filer and any other person may be brought. Jurisdiction and venue for those disputes are governed by applicable law and by any agreement between the parties. If a record notes a governing-law or forum provision in an underlying agreement, that note is provided by the Filer for information only.
2.3 Receivables figures
Any receivables total shown on the Site is the sum of face amounts of invoices recorded by Filers, as invoiced. These figures are not a judgment, adjudication, or admission by any party. They are not a representation that any amount is owed or collectible, and they do not guarantee payment to anyone.
2.4 Public filings
Filing references point to records maintained by public filing offices, and the filing office’s record controls. Omni-Stance does not certify that any filing office record is current, complete, or authorized; check the filing office directly.
2.5 Record history and corrections
Record histories are append-only. Entries are not edited or deleted. Corrections are added as new entries, and original entries remain in the history.
2.6 Disputes
To dispute a record, use the response option on the record or write to its Filer at the address shown. A dispute submitted through the Site is added to the record’s history and the record is shown as disputed. Omni-Stance records disputes but does not decide them.
2.7 Reporting a record
If you believe a record is unauthorized, fraudulent, or unlawful, you may also report it to Omni-Stance at the contact in section 8, with the record number and the basis for your report. See section 4.4.
3. Using the Site
3.1 Permitted use
You may use the lookup only to view records connected to a notice you received or that you are otherwise authorized to view, and to respond to those records. Funding firms may use the Site to request partner access.
3.2 Lookup limits
Records are looked up by invoice number. If more than one record has the same invoice number, you may be asked for the UCC file number shown on your notice to identify yours. After 5 unsuccessful lookups, access is paused for one hour. The Site cannot be used to change any record or to transfer any interest.
3.3 Prohibited conduct
You agree not to: (a) use bots, scrapers, or automated queries; (b) attempt to enumerate, guess, or harvest record numbers; (c) access or attempt to access records you are not authorized to view; (d) interfere with the Site’s security or operation; (e) misrepresent your identity or affiliation; or (f) use the Site for any unlawful purpose.
3.4 Responses to records
When you respond to a record, your response is added to its history with the date and an entry number. Responses cannot be edited or withdrawn, but you may submit a further response at any time. Submitting a response does not waive any right or defense you may have. Responses are visible to the record’s Filer and may be shown to approved funding partners reviewing the record.
3.5 Electronic records and signatures
You agree to conduct these interactions electronically. When you submit a response with your name, that submission is your electronic signature and the response is an electronic record, with the same effect as a signed paper document to the extent permitted by law, including the federal Electronic Signatures in Global and National Commerce Act and the Texas Uniform Electronic Transactions Act. You may instead respond on paper by writing to the Filer at the address shown on the record.
3.6 Communications
If you give us an email address, you agree that we may reply by email. Notices about records are sent by Filers, not by Omni-Stance. Where a Filer records a delivery receipt, it is kept with the related record.
3.7 Links to filing offices
Links to public filing offices are provided for convenience. Those sites are operated by the filing offices under their own terms, and Omni-Stance is not responsible for their content or availability.
3.8 Site content and view-only records
The Site’s design, text, and software are owned by or licensed to Omni-Stance. Records are provided for on-screen review only. You may not download, copy, screenshot for redistribution, republish, or redistribute records or other Site content without permission. Copies of record documents may be requested from the Filer and are provided at the Filer’s discretion.
4. Filer terms
This section applies to every Filer, including Filers affiliated with Omni-Stance. Filers accept these terms when they add a record.
4.1 Filer representations
For every record it adds, the Filer represents that: (a) it has authority to file the record; (b) the record accurately describes an obligation that the other party incurred, such as by signing an agreement, placing an order, accepting goods or services, or making a payment; (c) each financing statement the record references was authorized by the debtor as required by law; (d) supporting documents are genuine and complete; and (e) the Filer’s use of the Site, including any notice it sends, complies with applicable law, including debt-collection and privacy laws.
4.2 Filer of record information
The Filer must provide, and keep current, its legal name, an address for notices and service of process, and an email address and phone number for communication about its records.
4.3 Partner visibility
Each Filer decides which of its records are visible to approved funding partners, and may change that at any time. Any arrangement with a funding partner is solely between the Filer and that partner.
4.4 Review and removal
Omni-Stance may suspend public or partner display of any record it reasonably believes is unauthorized, inaccurate, fraudulent, or unlawful, or that is the subject of a credible report or legal process. Suspension is noted in the record’s history, and the history itself is retained.
4.5 Indemnity
Each Filer will defend, indemnify, and hold harmless Omni-Stance from any claim, loss, or expense, including reasonable attorney’s fees, arising from the Filer’s records, its notices, its filings, or its dealings with any record party or funding partner.
5. Funding partner terms
This section applies to commercial funding firms given access to the partner portal (“Partners”). Partners accept these terms when signing in.
5.1 Access
Portal access is issued at Omni-Stance’s discretion to approved commercial firms after verification, and is personal to the named user. Do not share credentials. Omni-Stance never charges a fee to apply for or receive access. Omni-Stance may suspend or revoke access at any time.
5.2 Confidentiality
Everything viewed in the portal is confidential. Partners may use it only to evaluate a potential arrangement with the Filer of that record. Partners may disclose it only to their own officers, employees, and professional advisers who need it for that purpose and are bound by confidentiality obligations at least as protective as these.
5.3 View-only access
Records are provided for on-screen review only. Partners may not download, export, copy, scrape, or capture records by screenshot or other means. Copies of documents may be requested from the Filer and are provided at the Filer’s discretion.
5.4 Dealing with Filers and record parties
Partners deal directly with Filers. Partners may not contact any other party to a record, including account debtors, about that record except as the Filer authorizes or as a signed agreement with the Filer provides.
5.5 Requests, appointments, and messages
Bookmarks are a convenience only. Information and appointment requests go to the record’s Filer and do not obligate either party. An appointment is set only when the Filer confirms it, and a Partner may cancel a request or a confirmed appointment before its date. Omni-Stance does not take part in requests or appointments.
Partners and Filers may exchange messages about a record through the Site. A Partner is anonymous to a Filer until the Filer confirms an appointment with it: before then the Filer sees only a code name and counts of partner activity, not which Partners viewed its records. After a confirmation the Filer sees the Partner’s firm name, but never its email address or other contact details unless the Partner shares them. Messages cannot be edited or deleted once sent.
5.6 Independent review
Records are provided as maintained by Filers, without warranty from Omni-Stance. Each Partner is responsible for its own diligence, including verification with the account debtor. No commitment, purchase, or extension of credit exists until the Partner and the Filer sign a separate written agreement, and Omni-Stance is not a party to that agreement.
5.7 Logging
All portal activity, including record views, bookmarks, requests, and messages, is logged and kept as part of the audit trail.
6. Privacy notice
6.1 What we collect
When you use the lookup, we record the search type, the number entered, the result, your IP address and the approximate location it indicates (city, region, and country), browser type, and the date and time. Partner and Filer activity in the portals, such as sign-ins and record views, is recorded the same way. When you respond to a record, we record the response, the name and email address you provide, and the date. When you request partner access, send us a message, or email us, we receive the information you provide. We do not use advertising trackers or third-party analytics. The Site uses only cookies it needs to work: to keep you signed in, to hold an open lookup for a short time, and to remember the time zone times are shown in. Our hosting and network providers may set strictly necessary security cookies.
6.2 How we use it
We use this information to operate the directory, keep an audit trail of record access, prevent misuse, pass requests and messages between Partners and Filers, verify partner access requests, and respond to you.
6.3 Sharing
We do not sell personal information. We share information only: (a) with the Filer of a record you look up or respond to; (b) with service providers who host or support the Site, under confidentiality obligations; (c) with approved Partners reviewing a record its Filer has made available to them, under written confidentiality obligations — this may include party names, amounts, record history, documents, and responses; and (d) where required by law, subpoena, or court order.
6.4 Retention and security
Access logs are kept as part of the audit trail for as long as the related record exists. We use reasonable administrative and technical safeguards, but no system is completely secure.
6.5 Your choices
You may ask what personal information we hold about you, or ask us to correct it, by writing to the contact in section 8. Depending on where you live, you may have additional rights under state law, and we will honor requests as the law requires. Browser “Do Not Track” signals: we do not track visitors across other websites, so the Site works the same whether or not the signal is sent.
6.6 Children
The Site is not directed to children under 13, and we do not knowingly collect their information.
7. General terms
7.1 Disclaimer of warranties
The Site and all records are provided “as is” and “as available.” To the fullest extent permitted by law, Omni-Stance disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
7.2 Limitation of liability
To the fullest extent permitted by law, Omni-Stance will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the Site or any record, and its total liability for any claim relating to the Site is limited to $100. Nothing in this section limits liability that cannot be limited by law.
7.3 Changes and availability
Omni-Stance may change, suspend, or discontinue any part of the Site at any time, and may update these terms by posting a revised version with a new “Last updated” date. Continued use after an update means you accept the revised terms.
7.4 Governing law for the Site
These terms, and any dispute about the Site itself, are governed by the laws of the State of Texas, without regard to conflict-of-law rules, and will be brought in the state or federal courts located in Dallas County, Texas. This section does not govern disputes between Filers and other persons about records; see section 2.2.
7.5 Severability and entire terms
If any provision of these terms is held unenforceable, the remaining provisions stay in effect. These terms are the entire agreement between you and Omni-Stance about the Site.
8. Contact
Questions about a specific record go to the Filer named on that record. Questions about these terms, the directory, partner access, or your information, and reports under section 2.7, go to Omni-Stance through the contact form.
